Capital-Hill Securities S.à r.l. is a special purpose vehicle (SPV): a Luxembourg multi-compartment securitisation vehicle incorporated under the Securitisation Law of 22 March 2004. We structure and issue tailor-made investment instruments: actively managed certificates and ETNs, tracker notes, asset-backed bonds and pre-IPO notes, for family offices, asset managers, private banks and institutional investors.
Each transaction is housed in its own legally segregated compartment: ring-fenced, bankruptcy-remote and audited by a regulated audit firm. Beyond structuring, we provide end-to-end issuance coordination: documentation, ISIN and listing, paying agency coordination, Bloomberg pricing contribution and full lifecycle support. Structure
We define the underlying, the payoff and the legal wrapper together with you, and open a dedicated segregated compartment for the transaction.
Issue
Term sheet and issuance documentation are prepared, the European ISIN is obtained and the notes are issued. Once documentation is agreed, the ISIN and clearing arrangements are a matter of days.
Distribute
Notes are cleared through Euroclear and Clearstream and delivered directly to investors' custody accounts at major banking institutions worldwide. Pricing is contributed to a dedicated Bloomberg page by a defined calculation agent; listing on the major European listing venues (MTF) is available.
